ProxSEO Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website design, hosting, domain management, and marketing services (collectively, the “Services”) provided by ProxSEO LLC (“ProxSEO,” “we,” “us,” or “our”). By subscribing to or using our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not subscribe or use our Services.
1. Definitions
“Client Content” means all text, images, logos, trademarks, data, media assets, and other materials you provide to ProxSEO.
“Work Product” means any deliverables, designs, code, content, or other materials created by ProxSEO for you under these Terms.
“Third-Party Services” means services provided by third-party platforms we integrate, including but not limited to Cloudflare, Zoho, WordPress.com, WPMU DEV, Plesk, and any other listed below.
2. Acceptance of Terms
By creating an account, subscribing, or using any portion of our Services, you agree to these Terms and any policies or guidelines referenced herein. If you do not agree, you must immediately cease use of our Services.
3. Scope of Services
- Design & Development. We design, build, and deliver websites, landing pages, and related digital assets per your specifications and approvals.
- Hosting & Maintenance. We host your site on servers (including through Plesk-managed environments) and perform updates, backups, and security hardening.
- Domain Registration & DNS Management. We register or manage domains, configure custom DNS and dynamic DNS for IP rotation, and integrate CDN, email, and security settings (see Section 6).
- Marketing & SEO. We execute search-engine optimization, content marketing, and promotional campaigns under agreed-upon scopes.
4. Subscription, Fees, Payment & Price-Lock Guarantee
- Monthly Subscription. Services are billed on a recurring monthly basis until canceled.
- Payment Authorization. You authorize ProxSEO to charge your chosen payment method automatically each billing cycle.
- Price-Lock Guarantee.
For the first three (3) years of your initial subscription term, your plan’s monthly rate is locked.
Any permitted price increase after this three-year period will not exceed 50% of the rate you most recently paid.
We will provide at least 30 days’ notice before applying any such increase.
- Price Changes During Lock Period. Except for the cap described above, we will not raise your plan’s price during the three-year lock.
- Non-Payment & Suspension. Failure to pay may result in suspension or termination of Services; you forfeit rights to Work Product upon termination for non-payment.
- Price Changes After Lock Period. After the initial three-year lock expires, we may adjust pricing with 30 days’ advance notice, subject to the 50% cap over your last locked rate.
5. Term & Termination
Term. Your subscription continues month-to-month until you cancel.
Cancellation. You may cancel anytime via your dashboard or by contacting support. Cancellation is effective at period end.
Effect of Termination. Upon termination, we may immediately deactivate your site, remove Work Product from our servers, and retain ownership of domains per Section 6.
6. Domain Registration, Management & Inclusions
Domain Requirement & Inclusion. Every plan includes at least one domain registration at no extra cost. Certain higher-tier plans include a .net domain in addition to the primary domain.
Domain Acquisition Options. You may:
DNS & CDN Control. Domains under our management allow ProxSEO to:
Configure Content Delivery Network (CDN) services.
Apply custom DNS records (A, CNAME, MX, TXT, etc.).
Rotate hosting IP addresses via dynamic DNS for security and uptime.
You grant us full DNS control for the duration of your subscription.
Ownership – ProxSEO-Purchased Domains.
ProxSEO permanently owns any domain we register for you.
Exception: If your subscription remains active uninterrupted for three (3) years, full ownership of the domain transfers to you automatically at no additional fee.
Ownership – Client-Transferred Domains.
You may request transfer out after subscription cancellation.
You assume all transfer and renewal fees; domains in registry “hold” periods (e.g., 60 days after registration/transfer) cannot be moved.
Renewals & Expiration.
Effect of Termination.
If your subscription ends before the three-year ownership threshold, ProxSEO will continue to own/manage the domain until you either satisfy the threshold or arrange a paid transfer under the above terms.
We maintain DNS and hosting configurations until one year after termination or until the domain is released, whichever comes first.
7. Third-Party Services & Their Terms
Your use of Third-Party Services is governed by each provider’s terms. ProxSEO is not responsible for their availability or policies. You must comply with all of the following when applicable:
8. Intellectual Property & License
Client Content. You retain ownership of all Client Content. You grant ProxSEO a worldwide, royalty-free, perpetual, irrevocable license to use it for Service delivery and marketing ProxSEO’s portfolio.
Work Product License. Upon full payment and during active subscription, we grant you a non-exclusive, non-transferable license to use Work Product for your business. This license terminates if your subscription ends (except domain ownership per Section 6).
Use of Trademarks/Logos. You authorize ProxSEO to use your business name and trademarks indefinitely for your site and our marketing, even after subscription ends.
9. Client Responsibilities
Provide timely, accurate materials, approvals, and feedback.
Ensure you have rights to all Client Content; indemnify ProxSEO for any infringement claims.
Maintain responsible use of Services; do not use for unlawful purposes.
10. Security, Backups & Data Retention
We implement industry-standard security measures (firewalls, SSL/TLS, IP rotation).
Regular backups are maintained; restore requests outside included retention windows may incur fees.
We retain data per our Privacy Policy and applicable law.
11. Disclaimer of Warranties
“AS-IS” Basis. Services are provided “as is” and “as available,” without warranties of any kind.
Performance Not Guaranteed. We do not guarantee uptime beyond third-party SLAs, search rankings, or specific business results.
12. Limitation of Liability
To the maximum extent permitted by law:
No Indirect Damages. ProxSEO and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, or consequential damages.
Liability Cap. Our total aggregate liability under these Terms shall not exceed the total fees paid by you in the three (3) months preceding any claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless ProxSEO and its affiliates from any claims, liabilities, damages, or expenses (including attorneys’ fees) arising from your breach of these Terms, your use of the Services, or any Client Content.
14. Confidentiality
Each party agrees to keep the other’s confidential information secure and not disclose it except as necessary for Service delivery or as required by law.
15. Force Majeure
Neither party will be liable for delays or failures caused by events beyond reasonable control (e.g., natural disasters, acts of war, internet outages).
16. Modifications to Terms
We may update these Terms at any time. Material changes will be communicated via email or dashboard notice 30 days before taking effect. Continued use constitutes acceptance.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of North Carolina, USA. Any dispute shall be resolved in the state or federal courts located in Wake County, North Carolina.
18. Severability
If any provision is found unenforceable, the remainder shall remain in full force and effect.
19. Entire Agreement
These Terms, together with any referenced policies, constitute the entire agreement between you and ProxSEO regarding the Services and supersede all prior agreements.
