ProxSEO offers Website as a Service (WaaS), including custom web design, managed web hosting, digital marketing, SEO, and related support. Our services are delivered on a subscription basis, with various packages detailed on our website.
3. Intellectual Property Ownership
All work performed, including but not limited to designs, code, graphics, written content, and other creative outputs produced by ProxSEO, is the sole and exclusive intellectual property of ProxSEO. You acknowledge that no transfer of ownership occurs with your subscription or payment. All trademarks, logos, and trade names are owned exclusively by ProxSEO.
4. Subscription, Payment, and Renewal
- Subscriptions are billed on a monthly basis at the rates published at the time of your purchase.
- Payment is due in advance each month.
- All fees are non-refundable, except as expressly provided in these Terms or required by law.
- ProxSEO reserves the right to modify pricing and service offerings upon prior notice.
5. Cancellation and Termination
- You may cancel your subscription at any time; however, cancellation will result in the immediate termination of your access to all services provided under your subscription.
- Upon cancellation, you will lose access to the website, domain, and any other applicable features provided by ProxSEO.
- ProxSEO reserves the right to suspend or terminate your account if you breach any of these Terms.
6. Domain Transfer Terms
- If your domain was transferred to ProxSEO as part of your subscription, such domain will be transferred back to you upon cancellation.
- The transfer of the domain back to you will be subject to the renewal cost applicable at the time of cancellation.
- All administrative and transfer fees associated with the domain transfer will be your responsibility.
7. Limitation of Liability
To the maximum extent permitted by law, ProxSEO shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use or inability to use our services, even if advised of the possibility of such damages. Your sole remedy for any dissatisfaction with our services is to cancel your subscription in accordance with these Terms.
8. Indemnification
You agree to indemnify, defend, and hold harmless ProxSEO, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
- Your use of our services;
- Your violation of any term of these Terms; or
- Your infringement of any intellectual property or other right of any person or entity.
9. Dispute Resolution and Anti-Arbitration
- Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved exclusively in the state or federal courts located in North Carolina, and you consent to personal jurisdiction and venue therein.
- The parties expressly agree that there shall be no mandatory or binding arbitration and waive any rights to submit disputes to arbitration.
- No class actions or class-wide arbitration proceedings shall be permitted; all disputes shall be resolved on an individual basis only.

Yes. Our process includes a risk-free design guarantee: if you’re not completely satisfied with your custom design delivered within 7 days, you won’t be charged for the design service.
